These Terms and Services ("Terms") govern your access to and use of the website, software platform, applications, and services (collectively, the "Services") provided by Y-Lync, having its registered address at No. 25/12A, 1st cross street, GF Kanchi castle, Dr. Radhakrishnan Nager, Thiruvanmiyur, Chennai - 600041 , India ("Company", "we", "us", or "our").

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not access or use the Services.

1. Eligibility

You represent and warrant that:

  • You are at least 18 years of age
  • You are legally capable of entering into a binding agreement under applicable Indian laws
  • If you are using the Services on behalf of an organization, you are authorized to bind that organization to these Terms

2. Description of Services

Y-Lync provides a cloud-based business communication and collaboration platform that enables users to:

  • Send broadcast messages
  • Create and manage message templates
  • Create and manage groups
  • Upload and manage contact lists
  • Manage customer conversations
  • Use shared inbox functionality
  • Enable multi-user access and role-based collaboration

We reserve the right to modify, suspend, or discontinue any part of the Services at our discretion.

3. Account Registration and Responsibilities

3.1 Account Creation

To access certain features, you must create an account and provide accurate and complete information.

3.2 Account Security

You are responsible for:

  • Maintaining confidentiality of login credentials
  • All activities occurring under your account
  • Immediately notifying us of unauthorized access

Y-Lync shall not be liable for losses caused by unauthorized use of your account.

4. Acceptable Use Policy

You agree not to use the Services to:

  • Send unlawful, harmful, fraudulent, misleading, or abusive content
  • Send spam, unsolicited messages, or communications violating applicable laws
  • Violate WhatsApp, Meta, or third-party platform policies
  • Upload malicious software or attempt to disrupt the Services
  • Infringe intellectual property or privacy rights of others
  • Collect or store personal information without lawful authority or consent

We reserve the right to suspend or terminate accounts that violate this policy.

5. Customer Data and Responsibilities

You retain ownership of data uploaded or processed through the Services, including contact information and conversations ("Customer Data").

You are solely responsible for:

  • Ensuring lawful collection and use of Customer Data
  • Obtaining necessary consents from individuals
  • Compliance with applicable data protection and telecom regulations

Y-Lync processes Customer Data solely to provide the Services.

6. Subscription, Fees, and Payments

6.1 Subscription Plans

Certain features of the Services may require payment under subscription plans.

6.2 Billing

You agree to pay all applicable fees, taxes, and charges associated with your subscription.

6.3 Non-Payment

Failure to make payments may result in suspension or termination of Services.

6.4 Refunds

Unless otherwise stated in writing, subscription fees are non-refundable.

7. Wallet and Credit Usage (Meta Billing Model)

  • Messaging charges are billed directly by Meta or applicable third-party communication providers.
  • Y-Lync may provide wallet or credit display features for tracking usage.
  • Wallet balances or usage indicators are informational and may not reflect real-time billing from Meta.
  • Users are solely responsible for maintaining sufficient balances with Meta or related providers.
  • Y-Lync shall not be liable for message delivery failures due to insufficient Meta credits, provider restrictions, or account limitations.

8. WhatsApp Compliance and Opt-In Messaging

Users must comply with all WhatsApp Business Platform and Meta messaging policies.

Users agree that:

  • Messages are sent only to recipients who have provided valid and verifiable opt-in consent
  • Users will maintain records of customer consent where required
  • Messaging content must comply with applicable telecom and marketing regulations
  • Users shall not send unsolicited, promotional, or prohibited content

Y-Lync reserves the right to suspend messaging capabilities if policy violations are detected.

9. Service Level Agreement (SLA) and Availability

Y-Lync aims to maintain high service availability and reliability.

  • Target uptime: 99% monthly uptime excluding scheduled maintenance
  • Scheduled maintenance may be performed with prior notice where feasible
  • Emergency maintenance may be performed without prior notice
  • Service interruptions may occur due to:
  • Infrastructure failures
  • Third-party platform outages including Meta services
  • Internet or telecommunications failures
  • Force majeure events

SLA commitments apply only to platform availability and do not guarantee message delivery performance by third-party providers.

10. Third-Party Services and Integrations

The Services may integrate with third-party platforms including WhatsApp, Meta, or other service providers.

Your use of such integrations is subject to their respective terms and policies. Y-Lync is not responsible for third-party services or changes to their policies or functionality.

11. Intellectual Property Rights

All rights, title, and interest in the Services, including software, content, branding, and technology, are owned by or licensed to Y-Lync.

You are granted a limited, non-exclusive, non-transferable license to use the Services for business purposes.

You shall not:

  • Copy, modify, or distribute the platform
  • Reverse engineer or attempt to extract source code
  • Use Y-Lync trademarks without authorization

12. Enterprise and Reseller Usage

Organizations or resellers using Y-Lync to provide services to third parties must:

  • Ensure downstream users comply with these Terms
  • Maintain contractual agreements with their clients covering messaging consent and data usage
  • Accept full responsibility for activities performed by their clients or sub-users

Y-Lync shall not be liable for disputes between resellers and their customers.

13. Suspension and Termination

13.1 Termination by User

You may terminate your account at any time by contacting support.

13.2 Termination by Company

We may suspend or terminate your access if:

  • You violate these Terms
  • You fail to pay subscription fees
  • Required by law or regulatory authority

Upon termination, access to Services may be disabled and Customer Data may be deleted in accordance with our Privacy Policy.

14. Auto-Renewal and Cancellation

  • Subscriptions may automatically renew unless cancelled prior to renewal date.
  • Users may cancel subscriptions through their account dashboard or by contacting support.
  • Cancellation will take effect at the end of the current billing cycle.
  • No partial refunds will be issued for unused subscription periods unless required by law.

15. Confidentiality

Both parties agree to maintain confidentiality of proprietary or confidential information exchanged during use of the Services, except where disclosure is required by law.

16. Limitation of Liability

To the maximum extent permitted by applicable law, Y-Lync shall not be liable for:

  • Indirect, incidental, or consequential damages
  • Loss of profits, business, or data
  • Service interruptions caused by third-party platforms

Total liability shall not exceed the fees paid by you during the preceding twelve (12) months.

17. Indemnification

You agree to indemnify and hold harmless Y-Lync, its officers, employees, and affiliates from claims arising from:

  • Your use of the Services
  • Violation of these Terms
  • Violation of applicable laws or third-party rights

18. Force Majeure

Y-Lync shall not be liable for failure or delay in performance caused by events beyond reasonable control, including natural disasters, internet outages, government actions, or cyberattacks.

19. Changes to Terms

We may update these Terms from time to time. Updated Terms will be posted on our website and become effective upon posting. Continued use of the Services constitutes acceptance of revised Terms.
